Overview

Bill Fasel is a Managing Director of The Claro Group located in Chicago and has over 25 years of advisory experience assisting multinational and middle-market clients with corporate restructuring, business transformation, corporate finance and strategic advisory matters. He has provided a range of financial advisory and M&A services to companies, debtors, lenders, unsecured creditors and private equity firms. Bill has led numerous engagements related to assessing and enhancing short-term liquidity, creating and analyzing turnaround plans, assisting clients in recapitalization, capital advisory and M&A transactions and performing due diligence investigations.

Prior to joining Claro, Bill held leadership roles with several professional services firms, including Grant Thornton’s Corporate Finance group, PwC’s Business Restructuring Services practice, Deloitte’s Corporate Restructuring Group and Huron Consulting Group. Bill has also held corporate development and investor relations roles with Campbell Soup Company and Aon Corporation and was an investment banker in the M&A practice of Lehman Brothers.

Experience +

Led cross-practice engagement teams that provided financial advisory, bankruptcy administration and distressed M&A support of a pharmaceuticals manufacturer through its Chapter 11 filing and S363 sale processes. Responsibilities included preparing detailed process management tools to track and coordinate cross-functional efforts; overseeing a sell-side financial due diligence process to prepare the company for sale; facilitating the preparation of first day motions; contributed to operational readiness and strategic communication plans, as well as assisting with various vendor management efforts; managing ongoing court reporting processes and assisting the Company in responding to lender and unsecured creditor committee info requests, as well as with their emergence planning process.

Led diligence efforts regarding the viability and feasibility of a startup electronic vehicle manufacturer. Client was an investor looking to potentially recapitalize the business. Responsibilities included analyzing the company’s business plan and cash forecasting process, including a detailed analysis and assessment of the company’s operations and ability to service its debt obligations.

Managed various project teams that provided restructuring, strategy, forensic and tax advisory services for a Tier 1 automotive supplier through its Chapter 11 filing and S363 sale processes. Responsibilities included contingency planning, cash flow forecasting and bankruptcy filing preparation, including first day motions, statements and schedules, vendor management and claims reconciliation. Additionally, led efforts to manage the UCC and Tort Committee interactions, as well as negotiation efforts with the North American OEM community.

Served as financial advisor to a Tier 2 automotive supplier in its negotiations with its lender group. Primary focus on providing liquidity management services, including cash forecasting, working capital optimization and performance improvement strategies as the company initiated various restructuring activities, resulting in the recapitalization and ultimate sale of the business through an out-of-court process.

Served as financial advisor to a coffee manufacturer to the foodservice industry. Primary focus on providing lender advisory services, including analyzing the operational and financial condition of the business and providing ongoing cash flow monitoring and reporting to lender group. Efforts supported the recapitalization of the business.

Managed the project team that provided performance improvement support to a leading retail merchandising solutions provider. Specific focus on implementing financial and operational transformational solutions designed to enhance profit improvement opportunities and develop a framework to achieve a targeted future state operating model.

Led financial advisory efforts for a print and interactive marketing company through the preparation and execution of its pre-negotiated Chapter 11 bankruptcy plan, including preparation of the first-day motions; cash flow management; bankruptcy compliance reporting; employee and vendor communications; plan of reorganization/disclosure statement; and establishment of claims processing and reconciliation procedures.

Served as financial advisor for a men’s apparel manufacturer to the Unsecured Creditors Committee through its Chapter 11 process. Specific responsibilities included the assessment of the company's cash and liquidity requirements; financing requirements; review and analysis of the S363 sale process and ultimately advised the ongoing bankruptcy estate through a review of the preference process and filing of a plan of reorganization.
